You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our Site and Services for your personal, non-commercial use only. This license does not include:

Risk of loss and title for food products passes to you upon delivery to the designated address. If you use a third-party delivery platform to place orders, the terms and conditions of that platform may also apply.

8. Allergen and Nutritional Information

Our food products may contain or come into contact with common allergens, including but not limited to wheat, dairy, eggs, soy, tree nuts, peanuts, fish, and shellfish. While we make reasonable efforts to provide accurate allergen and nutritional information, we cannot guarantee that our kitchen environments are completely free from cross-contamination.

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• WARRANTIES THAT OUR SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT, INFORMATION, OR MATERIALS AVAILABLE THROUGH OUR SERVICES.
• WARRANTIES THAT DEFECTS IN THE SITE OR SERVICES WILL BE CORRECTED.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In such cases, the disclaimers will apply to the maximum extent permitted by applicable law.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JET'S PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, OUR SITE, SERVICES, OR PRODUCTS, INCLUDING BUT NOT LIMITED TO:

• LOSS OF REVENUE, PROFITS, DATA, BUSINESS, OR GOODWILL.
• PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR CONSUMPTION OF OUR PRODUCTS OR ACCESS TO OUR SITE.
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA.
• ERRORS, MISTAKES, OR INACCURACIES IN OUR CONTENT OR SERVICES.
• CONDUCT OF ANY THIRD PARTY ON OR THROUGH OUR SERVICES.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO JET'S PIZZA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).

THE FOREGOING LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY — WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE — AND EVEN IF JET'S PIZZA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some states do not allow certain limitations of liability, so certain portions of this section may not apply to you. In those jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Jet's Pizza, its affiliates, officers, directors, shareholders, employees, agents, contractors, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or access to our Site or Services, including any data or content you transmit or receive.
• Your violation of these Terms or any applicable federal, state, or local law or regulation.
• Your infringement or misappropriation of the intellectual property rights of any third party.

14. Governing Law and Jurisdiction

These Terms of Service and any disputes arising out of or relating to these Terms, your use of our Services, or your relationship with Jet's Pizza shall be governed by and construed in accordance with the laws of the United States and the laws of the applicable state in which Jet's Pizza is incorporated or primarily operates, without giving effect to any choice-of-law or conflict-of-law provisions that would cause the application of the laws of any other jurisdiction.

To the extent that any dispute is not resolved through arbitration as provided in Section 15 below, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within the United States for the resolution of any legal action or proceeding arising out of these Terms or your use of our Services.

Our Services are operated from the United States. We make no representations that our Site or Services are appropriate or available for use in other locations. Accessing our Services from locations outside the United States is at your own risk and you are responsible for compliance with all local laws applicable to you.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before initiating formal legal proceedings, you agree to attempt to resolve any dispute, claim, or controversy with Jet's Pizza informally. You must send a written notice of your dispute to [email protected] describing the nature and basis of your claim and the specific relief you are seeking. We will attempt to resolve the dispute within thirty (30) days of receiving your notice. If we cannot resolve the dispute informally within that time, either party may proceed to formal dispute resolution.

15.2 Binding Arbitration

EXCEPT AS OTHERWISE PROVIDED IN THESE TERMS, ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, OR THE BREACH, TERMINATION, OR VALIDITY THEREOF, SHALL BE FINALLY SETTLED BY BINDING ARBITRATION ADMINISTERED BY A RECOGNIZED ARBITRATION ORGANIZATION IN THE UNITED STATES IN ACCORDANCE WITH ITS THEN-CURRENT CONSUMER ARBITRATION RULES.

The arbitration shall be conducted in English, and the arbitral award shall be in writing and shall be final and binding upon both parties. The arbitrator's award may be entered as a judgment in any court of competent jurisdiction.

15.3 Class Action Waiver

YOU AND JET'S PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION OR PROCEEDING. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class or representative proceeding.

15.4 Exceptions

Notwithstanding the above arbitration agreement, either party may seek emergency or interim injunctive relief from a court of competent jurisdiction to prevent irreparable harm pending the resolution of a dispute through arbitration. Nothing in this Section shall limit either party's right to seek injunctive or other equitable relief in cases involving infringement of intellectual property rights.

16. Term and Termination

These Terms are effective as of the date you first access or use our Services and shall remain in full force and effect for as long as you continue to use our Services, unless terminated earlier in accordance with this Section.

We reserve the right, in our sole discretion and without notice, to suspend, limit, or terminate your access to our Site and Services, including deactivating your account, for any reason, including but not limited to:

• Violation of any provision of these Terms.
• Fraudulent, abusive, or illegal activity.
• Requests from law enforcement or government agencies.

No failure or delay by Jet's Pizza in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of Jet's Pizza. A waiver of any breach of these Terms shall not be deemed a waiver of any subsequent breach of the same or any other provision.

20. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices or agreements published by Jet's Pizza in connection with the Services, constitute the entire agreement between you and Jet's Pizza with respect to your use of our Site and Services, and supersede all prior and contemporaneous agreements, representations, negotiations, and understandings, whether written or oral, relating to the subject matter hereof.

In the event of any conflict between these Terms and any other agreement you have with us, these Terms shall control unless such other agreement explicitly states otherwise in writing.

Jet's Pizza shall not be liable for any failure or delay in performance of its obligations under these Terms caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, civil unrest, government actions, labor disputes, power outages, internet disruptions, supply chain failures, or any other event or condition beyond the reasonable control of Jet's Pizza.

By using our Services or communicating with us electronically, you agree to receive communications from us in electronic form. We may communicate with you via email, by posting notices on our Site, or through other electronic means. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing, to the fullest extent permitted by applicable law.
